Prior to the sale of a business, Susan Turney works with clients to make sure nondisclosure agreements are in place (“NDA”) with potential buyers. We analyze proposed transactions in conjunction with the client’s accounting team. We form acquisition entities, draft and negotiate letters of intent (“LOI” or “MOU”), perform due diligence review and prepare due diligence responses, draft and negotiate sale contracts such as stock (“SPA”), asset (“APA”), and membership interest purchase agreements. We also draft and review the related documents such as employment agreements, licenses, and bills of sale. After closing, we are there to negotiate post-closing matters, including true-ups, escrow agreements, hold-backs, purchase price adjustments, earnouts and representation and warranty indemnification claims.
